BOI Filing Updates: What Your Business Needs to Know
The Beneficial Ownership Information (BOI) filing requirements have been a moving target in recent months, with multiple legal challenges and deadline shifts. If you’re feeling confused about whether your business needs to file and when, you’re not alone.
At Watson & Associates, we’re staying on top of every update so you don’t have to. Below, we’ve outlined the latest changes, current filing deadlines, and key resources to help ensure compliance.
What Is BOI Filing and Who Needs to File?
The BOI filing requirement was introduced as part of the Corporate Transparency Act to improve financial transparency and prevent illicit activities. It applies to most corporations, LLCs, and other entities registered in the U.S., requiring them to report details about their beneficial owners to the Financial Crimes Enforcement Network (FinCEN).
If you’re unsure whether your business needs to file, check out our in-depth BOI reporting guide here for a full breakdown of requirements and exemptions.
Latest BOI Filing Deadline Updates
Here’s the latest status as of February 2025:
- On Monday, a Texas court lifted an injunction that had delayed BOI enforcement.
- FinCEN has extended the filing deadline to March 21, 2025.
- For businesses in federally declared disaster areas impacted by Hurricanes Debby, Helene, or Milton, the deadline remains April 23, 2025.
While further changes are possible as lawsuits continue, these are the current deadlines to be aware of.
How to File Your BOI Report
If your business is required to file, you can do so online using the official FinCEN BOI e-filing portal.
Important: Be cautious of scam websites posing as official filing portals. FinCEN does not charge a filing fee, so if you come across a site requesting payment, it is likely fraudulent.
